Website Terms of Use

These Terms govern access to and use of lillyfinancial.net. They do not govern professional services performed under an accepted written engagement.

Website content is not professional advice, and use of the Site does not create an engagement.

Do not rely on this Site for a tax filing position, legal conclusion, deadline, investment decision, response to a government notice or other matter requiring advice based on specific facts. Lilly Financial has no duty to act unless it accepts that responsibility in a written engagement.

1. Acceptance of these Terms

These Website Terms of Use (the “Terms”) state the conditions governing access to and use of lillyfinancial.net, including its pages, content, features and public contact form (collectively, the “Site”). The Site is operated by Lilly Financial Management Services, Inc. (“Lilly Financial,” the “Company,” “we,” “us” or “our”).

By accessing or using the Site after receiving reasonable notice of these Terms, a user agrees to comply with them to the extent enforceable under applicable law. A person who does not agree should discontinue use of the Site. A person using the Site for an entity represents that the person is authorized to act for that entity with respect to the use at issue.

2. Site operator and territorial scope

The Site is maintained for Lilly Financial’s United States business operations. The availability of Site content in a location does not represent that the Company is licensed, registered, qualified or available to provide every described service in that location. Service availability is determined during engagement review and may depend on the client, jurisdiction, requested work and applicable professional requirements.

3. General information; no reliance

Site content is provided for general informational and business-development purposes. It is not accounting, tax, legal, investment, valuation, fiduciary, audit, assurance or other professional advice. It is not a recommendation or opinion concerning a particular person, entity, transaction, return, filing, notice, deadline or dispute.

Laws, regulations, administrative guidance, filing procedures, financial conditions and business facts change. Site content may be incomplete, may not address a user’s circumstances and may not reflect the most recent authority. A user must obtain advice appropriate to the user’s facts before acting or refraining from action.

4. No professional relationship or duty to act

Viewing the Site, submitting the contact form, sending an email, requesting a consultation, receiving preliminary information or discussing a possible matter does not create an accountant-client, tax-preparer-client, adviser-client, fiduciary, agency, attorney-client or other professional relationship.

No engagement exists unless Lilly Financial expressly accepts a written engagement that identifies the client and scope of work. Until then, the Company does not undertake to monitor a deadline, preserve a right, file a document, maintain records, provide advice, protect an appeal or respond to any governmental or private communication.

5. Professional scope and service limitations

Descriptions of services on the Site are general and are subject to the Company’s current Professional Scope and Service Limitations. Among other limitations, Lilly Financial does not currently provide representation before the IRS or state or local tax authorities, independent audits or other attest or assurance services, legal services, investment services or formal valuation services.

A service description is not an offer, guarantee of availability or promise that the Company will accept a matter. Lilly Financial may decline a proposed engagement in its discretion, subject to applicable law.

6. Permitted and prohibited use

Subject to these Terms, a user may access the Site for lawful personal or internal business purposes relating to evaluation of Lilly Financial and its services. A user must not:

  • use the Site in violation of law, regulation, another person’s rights or an applicable contractual obligation;
  • submit false, misleading, fraudulent, defamatory, infringing, unlawful or malicious content;
  • impersonate another person or misrepresent identity, affiliation, authorization or the purpose of an inquiry;
  • introduce malware, attempt unauthorized access, bypass security measures, interfere with operation or probe the Site without prior written authorization;
  • use automated means to scrape, harvest, overload or extract Site content or contact information except as permitted by generally applicable search-engine instructions;
  • use the Company’s name, marks or content to imply endorsement, affiliation, credentials or authority; or
  • copy, modify, distribute, sell, sublicense or commercially exploit Site content except as expressly permitted by these Terms or written authorization.

7. Contact-form submissions and communications

The public contact form is limited to preliminary inquiries. A submitter is responsible for the accuracy, lawfulness and appropriateness of information transmitted and represents that the submitter is authorized to provide it.

Do not submit Social Security numbers, taxpayer-identification numbers, tax returns, financial statements, bank information, account credentials, dates of birth, medical information or identity documents through the public form. Receipt of unsolicited sensitive or confidential information does not create an engagement or duty to act and does not expand the Company’s obligations beyond those imposed by applicable law.

Email and public web forms may not be suitable for confidential information. When sensitive information is required for an accepted engagement, the Company will identify an approved delivery method. A user should not assume that an electronic communication was received or accepted until acknowledged by an authorized Company representative.

8. Intellectual property

The Site and its text, organization, graphics, branding, logos, design elements and other content are owned by Lilly Financial or used with permission and are protected by applicable intellectual-property laws. All rights not expressly granted are reserved.

A user may print or save a reasonable number of Site pages for the user’s lawful, noncommercial evaluation or internal reference, provided all proprietary notices remain intact and the content is not altered or presented out of context. No license is granted to use the Company’s trade names, service marks, logos or brand elements.

9. Third-party services and external links

The Site may use or link to services, content and websites provided by third parties. External links are provided for convenience or reference and do not constitute endorsement, sponsorship, control or a representation concerning the third party. Lilly Financial is not responsible for an unaffiliated third party’s availability, content, accuracy, security, accessibility, terms or privacy practices.

10. Site availability and modification

The Company may modify, suspend, restrict or discontinue any part of the Site without notice. The Site may be unavailable because of maintenance, provider outages, security events, network conditions, errors or circumstances beyond the Company’s control. Lilly Financial has no obligation to preserve particular Site content or provide continuous access.

11. Disclaimers

To the maximum extent permitted by applicable law, the Site is provided “as is” and “as available.” Lilly Financial disclaims warranties and representations concerning the Site, whether express, implied or statutory, including warranties of accuracy, completeness, currency, availability, security, noninfringement, merchantability and fitness for a particular purpose.

The Company does not warrant that the Site will be uninterrupted, error-free, free of harmful components or suitable for a user’s particular purpose. Nothing in these Terms excludes a warranty, duty or remedy that applicable law does not permit the Company to exclude.

12. Limitation of liability

To the maximum extent permitted by applicable law, Lilly Financial and its directors, officers, employees, contractors and agents will not be liable for indirect, incidental, special, exemplary, punitive or consequential damages, lost profits, lost revenue, lost data, business interruption or loss arising from or related to Site access, Site use, inability to use the Site, reliance on Site content or use of an external site.

These limitations do not apply to fraud, willful misconduct, gross negligence or liability that applicable law does not permit the Company to limit or exclude. They do not waive a nonwaivable statutory right or remedy. Rights and remedies relating to an accepted professional engagement are governed by the applicable engagement documents and law, not this Section.

13. Privacy and security

Information processed through the Site is described in the Company’s Website and Inquiry Privacy Notice and Security and Data Handling Statement. Those notices are provided for their stated purposes and are not incorporated as contractual promises through this Section. They do not create a guarantee that a transmission, system or database will be completely secure.

14. Changes to these Terms

The Company may revise these Terms to reflect changes in law, services, technology, vendors or Site operation. Revised Terms will be posted at this location with an updated effective or revision date and other notice when reasonably appropriate or required. Continued use after reasonable notice of revised Terms constitutes acceptance only to the extent permitted by law.

15. General provisions

If a provision of these Terms is held unenforceable, it will be enforced to the maximum permissible extent and the remaining provisions will remain in effect. A failure to enforce a provision is not a waiver. The Company may assign its rights and obligations relating to the Site as part of a reorganization, financing, merger, acquisition, sale of assets or similar transaction.

These Terms state the conditions governing Site use. They do not modify an accepted engagement letter, master services agreement or other signed service agreement. A dispute concerning professional services is governed by the applicable signed agreement and law. Any issue arising solely from Site use remains subject to applicable law and the jurisdiction of a court otherwise authorized to hear the matter; these Terms do not waive any nonwaivable right or select a different forum.
